Motion

Greetings Shareholders.

Now that I have caused BMF to rise from it's grave, much to the chagrin of the troll patrol on bitcointalk.org and "various other" forums, it is time to finally close NYAN.A. Until this date, holders of NYAN.A have recieved approximately 0.11 BTC in interest payments (worth nearly $15) and a further 0.19 BYC in payments (worth a further $25) since we were granted special listing status on BTC-TC.

These payments represent everything that we could recover from the holdings on GLBSE, and represent -- in dollar terms -- a massive increase in value for our holders. It also represents my personal investment into bitcoin at the time, which I gave to the company to help repair the damage caused to us by Nefario. It's unfortunate that we were unable to list on BTC-TC at the time and were instead forced to liquidate our holdings at a loss. But that is ancient history now.

NYAN.A's final asset is 2,256 shares of BMF, which includes shares granted to it by it's insurer, CPA, and shares owned by usagi and given to NYN.A as stated above. The value of these shares has now been fixed at 0.032 each for the next two months due to a recent private placement by BMF.

Were we to sell this final asset and distribute the proceeds to NYAN.A investors, it would represent a final payment of 0.092 bitcoins per share over 796 shares, worth $12 a share at current rates.

Vote YES to sell the BMF shares and make a final payment of ~0.092 per share. Doing so will several all remaining liabilties for the funds, and they will all close.

Vote NO to wait another 2 years for final repayment to start (It will take me approx. 4-5 years after that date to repay the fund to 1 BTC at current rates).

Management strongly suggests you vote YES and just kill this dead horse already.

Stockholder Agreement For the purpose of shutting down the NYAN.A symbol fairly.

Premise:
A number of investors felt burned by the forced buyback of NYAN.B and
NYAN.C, despite receiving a final payment of more than what the shares
were actually worth.
If the companies were allowed to list normally (approved) then the
shares could simply be bought back on the market. This will be seen as
"more fair" and will allow the market to decide what the shares are
really worth. This is a good thing, this is what people want.


Contract:
1. There are 596 outstanding shares of NYAN.A right now, worth 0.80
after dividends. Should NYAN.A be approved for listing, I will not
issue any new shares or sell any shares.
2. I will simply issue buybacks on the market until such time as the
shares are all bought back.
3. Should any remaining securities not appear on auction after a
predetermined time (from an idle account for example) I will issue a
forced buyback at the average price (volume weighted).
a. to occur no less than 90 days from approval or with less than 10%
shares remaining.
Executive Summary

This is a really simple idea, please allow the trading of NYAN.A until
I can buy back all the shares. The company doesn't exist any more and
if this contract isn't approved my only option for recovering the
shares is a single forced buyback and that is not what people want.
Please allow me to provide closure for my investors.

Anonymous voted NO with comment: Contract is in disagreement with usagi's promise to buy back all shares at full value. If contract is amended to reflect that promise - with a time-scale - then will reconsider vote.

Dear Anonymous: Yes, I will be buying back shares at their full value, 1 BTC minus what has been paid out already. Thanks for allowing me the chance to clarify that, I had assumed that everyone knew that is what I said I was going to do.
